End User License Agreement

1. License grant

Subject to your compliance with this EULA and our Terms and Conditions, SAP Factory, LLC grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use one copy of the App on any device you own or control, solely for your own personal, non-commercial use, and solely in accordance with its documented features.

2. Restrictions on use

You agree that you will not, and will not permit anyone else to:

• copy, modify, adapt, translate, or create derivative works of the App;
• reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App, except where such restriction is prohibited by applicable law;
• rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the App or your license to use it to any third party;
• remove, obscure, or alter any proprietary notices on or within the App;
• use the App to build a competing product or service, or for any purpose not expressly permitted by this EULA.

3. Ownership

The App is licensed, not sold. SAP Factory, LLC and its licensors retain all right, title, and interest in and to the App, including all intellectual property rights therein. This EULA does not grant you any rights to the SafetyCheck name, logo, or trademarks.

4. Data collected by the App

Your use of the App is also governed by our Privacy Policy, which describes the account, location, health, and check-in data the App collects and how it is used and shared — including with your designated emergency contact(s) when an alert is triggered.

5. Updates and maintenance

We may release updates to the App from time to time to add features, improve performance, or fix issues. Some updates may be required for the App to continue functioning correctly. We have no obligation to provide any updates or to continue supporting any particular version of the App.

6. No warranty

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. SafetyCheck does not warrant that the App will be uninterrupted, error-free, or that any check-in, reminder, or alert will be delivered successfully or on time. See Section 8 of our Terms and Conditions for the full safety-related disclaimers that also apply to your use of the App.

7. Limitation of liability

To the fullest extent permitted by law, SAP Factory, LLC's liability arising from or related to this EULA and your use of the App is limited as described in Section 9 (Limitation of Liability) of our Terms and Conditions, which is incorporated into this EULA by reference.

8. Term and termination

This EULA is effective until terminated. Your license terminates automatically, without notice, if you fail to comply with any of its terms. Upon termination, you must stop using the App and delete all copies of it from your devices. Sections 2, 3, 6, 7, and 9–12 survive termination.

9. Export compliance

You represent that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. government list of prohibited or restricted parties. You agree to comply with all applicable export and re-export control laws and regulations.

10. U.S. government end users

If you are a U.S. government end user, the App is a "Commercial Item" as defined in 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation," and is licensed to U.S. government end users only as a commercial end item, with only those rights granted to all other end users under this EULA.

11. Apple and Google terms

If you downloaded the App from the Apple App Store, you acknowledge that this EULA is between you and SAP Factory, LLC only, not Apple, and Apple has no obligation to furnish any maintenance or support for the App. Apple is a third-party beneficiary of this EULA and may enforce it against you. If you downloaded the App from Google Play, your use is also subject to Google Play's applicable Terms of Service. In the event of a conflict between this EULA and either marketplace's standard terms, the marketplace's terms will govern solely with respect to that conflict to the extent required.

12. Governing law

This EULA is governed by the laws of the State of Maryland, USA, without regard to its conflict of laws principles, consistent with Section 13 of our Terms and Conditions.
